What We Do

SPAC Consultation

We offer a comprehensive range of services to Special Purpose Acquisition Companies (SPACs), such as valuations for financial reporting and tax purposes, including business combinations and warrant valuations.

Our Team of Experts also provide valuations of interests in SPACs, like founders’ interests, PIPES, and restricted shares. The team also delivers fairness opinions, due diligence on reputational, buy- and sell-side, contracts and privacy compliance reviews, corporate compliance risk and governance, conflict disclosures, and fiduciary obligations analyses.

In short, we provide a one-stop platform for all the needs of SPACs, ensuring they are in compliance with regulations and have a solid governance structure in place.

Transaction Opinions

On our platform, we understand the importance of conducting fair and impartial business transactions. That’s why we offer our expertise in providing Fairness Opinions to the Board of Directors of Special Purpose Acquisition Companies (SPACs) for de-SPAC transactions.

A Fairness Opinion is an objective evaluation of the financial terms and conditions of a proposed transaction. Our team of experts analyze a variety of factors such as market conditions, comparable transactions, and financial projections to determine whether the proposed transaction is fair and reasonable for all parties involved.

Transaction Advisory

If you’re looking for comprehensive transaction advisory services, our platform has got you covered. We specialize in financial due diligence on de-SPAC targets, as well as buy-side and sell-side due diligence on the target acquisition company and SPAC sponsors/founders, respectively.

Our expert team conducts an audit and analysis of the financial projections of the SPAC target to ensure that they are reasonable and accurate. We understand the importance of thorough financial analysis in making informed business decisions. That’s why our team is dedicated to providing you with a clear and detailed report that highlights the strengths and weaknesses of the target acquisition company and SPAC sponsors/founders.

Valuation Advisory

We specialize in warrant valuations for financial reporting, valuations of targets for initial business combinations to meet regulatory or exchange requirements, and valuations for business combinations/purchase price allocation for financial reporting purposes. Additionally, we provide valuations of interests in SPACs, including Founders’ interests, PIPES, and restricted shares.

Our team understands the complexities of SPAC valuations and is committed to providing you with accurate and reliable information. We utilize the latest valuation techniques and methodologies to ensure that our valuations are comprehensive and well-supported.

In addition to our core services, we also provide tax valuations and transfer pricing services. We understand the importance of compliance and will work with you to ensure that your SPAC transactions are conducted in accordance with regulatory and tax requirements.

Governance, Risk and Compliance

When it comes to governance, risk, and compliance, you need a team that you can trust. Our platform specializes in assisting Special Purpose Acquisition Companies (SPACs) with identifying and mitigating risks in legal agreements. We thoroughly review contract clauses to ensure that they are in compliance with regulatory requirements and that they mitigate potential risks.

Our team of experts also assesses security and privacy compliance, analyzes sponsor incentives, conflict of interest disclosures, and sponsor fiduciary obligations to the SPAC and to other clients. We understand the importance of ensuring that all parties involved in the transaction are acting in good faith and are committed to providing you with a clear and unbiased assessment.

We review controls surrounding the receipt of material non-public information, evaluate the SPAC’s corporate governance and reporting, and conduct pre- and post-transaction financial due diligence. We assess fraud risk of internal controls to determine the appropriate policies and procedures, and provide investigative support resulting from identified internal malfeasance.

We take a proactive approach to governance, risk, and compliance. We work with you to identify potential risks and develop strategies to mitigate them.

What is SPAC?

A SPAC, or Special Purpose Acquisition Company, is a type of publicly traded investment vehicle that raises capital through an initial public offering (IPO) with the purpose of using the funds to acquire an existing private company and take it public. SPACs have gained popularity in recent years as a way for private companies to go public quickly and with less regulatory scrutiny than a traditional IPO. SPACs typically have a two-year deadline to acquire a target company or return the funds to investors, and investors can choose to redeem their shares if they do not approve of the proposed acquisition.

The Special Purpose Acquisition Company (SPAC) market has been on an upward trend in 2021, with a total of 613 initial public offerings (IPOs) raising over $163 billion in gross proceeds. The market is expected to maintain this momentum in 2022, with close to 200 de-SPAC transactions completed and an additional 267 announced. However, as the popularity of SPACs grows, regulatory oversight and scrutiny of this investment vehicle is expected to increase.

It is crucial for SPAC executives and sponsors to ensure compliance with reporting requirements and implement robust governance policies to withstand potential scrutiny and litigation.

Why SPAC?

The use of Special Purpose Acquisition Companies (SPACs) has emerged as a preferred method for experienced management teams and sponsors to take companies public. By raising capital through an Initial Public Offering (IPO), a SPAC can acquire an existing operating company, which then becomes publicly traded without executing its own IPO.

The SPAC route offers numerous benefits over a traditional IPO, such as improved access to capital, even in volatile market conditions, and the potential for lower transaction fees and accelerated public listing timelines.

However, merging with a SPAC also presents certain challenges, including the requirement to meet accelerated public company readiness standards and navigate complex accounting and reporting regulations that may vary based on the SPAC’s lifecycle. The target company’s management team must be prepared to operate as a public company within three to five months of the letter of intent being signed.

This overview focuses on the reasons behind the growing popularity of SPACs, recent trends, and the advantages and challenges of this approach to becoming a publicly traded company.

Speed and Simplicity

SPAC listings can offer a faster and more straightforward process for companies to go public compared to a traditional initial public offering (IPO).

Access to Capital

SPACs provide a way for private companies to access capital markets and raise funds for growth and expansion.

Increased Liquidity

Listing on the NASDAQ provides companies with increased liquidity, which can be beneficial for shareholders.

Enhanced Visibility

A NASDAQ listing can increase a company’s visibility, credibility, and brand recognition, potentially attracting more investors and customers.

Experienced Sponsors

SPACs are often sponsored by experienced investors, who can bring valuable expertise and connections to the table.

Lower Costs

The cost of going public through a SPAC listing can be lower compared to a traditional IPO, as many of the expenses associated with an IPO are eliminated.
